2. Description of Service

NairoFlow is a digital marketplace that connects clients with freelancers for various projects including but not limited to web development, design, content creation, marketing, data analysis, and other professional services.

Our platform uses artificial intelligence and machine learning algorithms to match clients with the most suitable freelancers based on skills, experience, project requirements, and other relevant factors.

We provide tools for project management, communication, payment processing, and dispute resolution to facilitate successful collaborations between clients and freelancers.

3. User Accounts and Registration

To access certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, particularly in cases of violation of these Terms or applicable laws.

4. User Responsibilities and Conduct

Users are expected to conduct themselves professionally and ethically. You agree not to:

• Engage in any form of harassment, discrimination, or inappropriate behavior

5. Project Posting and Bidding

Clients may post projects on our platform with detailed descriptions, requirements, budgets, and timelines. All project postings must be accurate and comply with our content policies.

Freelancers may submit proposals for projects that match their skills and interests. Proposals should be professional, relevant, and demonstrate understanding of the project requirements.

We reserve the right to review, modify, or remove project postings and proposals that violate our terms or community guidelines.

6. Payment Terms and Escrow

All payments are processed through our secure escrow system. Clients fund projects upfront, and payments are released to freelancers upon successful completion of milestones or project delivery.

Our platform charges service fees as follows:

• For clients: 3% of total project value
• For freelancers: 5% of total project value
• Additional processing fees may apply for certain payment methods

All fees are clearly displayed before project initiation. Refunds are processed according to our refund policy and applicable laws.

7. Intellectual Property Rights

Users retain ownership of their intellectual property. However, by using our platform, you grant us a limited license to use, display, and distribute your content as necessary to provide our services.

Work products created through our platform belong to the client unless otherwise specified in the project agreement. Freelancers may retain rights to their methodologies, processes, and general knowledge.

We respect intellectual property rights and will respond to valid copyright infringement notices in accordance with applicable laws.

8. Dispute Resolution

We provide dispute resolution services to help resolve conflicts between clients and freelancers. Our dispute resolution process includes:

• Initial mediation between parties
• Review of project documentation and communications
• Arbitration by qualified professionals when necessary
• Final decision binding on both parties

Users agree to participate in good faith in our dispute resolution process. We reserve the right to make final decisions regarding payment disputes based on available evidence and our platform policies.

9. Privacy and Data Protection

We are committed to protecting your privacy and personal information. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement appropriate security measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet is 100% secure.

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

10. Limitation of Liability

To the maximum extent permitted by law, NairoFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability to you for any claims arising from or relating to these Terms or your use of our services shall not exceed the amount you paid us in the twelve months preceding the claim.

We provide our services "as is" and make no warranties regarding the availability, accuracy, or reliability of our platform or services.

11. Termination

Either party may terminate this agreement at any time by providing written notice. Upon termination, your right to use our services will cease immediately.

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, you remain liable for all outstanding fees and obligations. We may retain certain information as required by law or for legitimate business purposes.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be resolved in the courts of San Francisco County, California.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13. Changes to Terms
